Disqualification of Directors under the Corporations Law

Abstract

Provisions of the Corporations Law prohibit or facilitate the prohibition of insolvents under administration, certain persons involved in corporate failings and offenders convicted of specified offences from managing corporations. This article examines the operation of these sections and, in particular the exercise of the courts' wide discretion to grant such persons leave to be involved in corporate management. The discussion seeks to provide practitioners with an understanding of the scope of these sections and a useful guide to the factors considered relevant to an exercise of the courts' discretion.
